Terms of Service

These Terms of Service govern your access to and use of YouClio websites, web applications, mobile applications, APIs, AI workspaces, subscription plans, AI credits, integrations, notifications, and related services provided and operated by SNAPRE GROUP LTD.

If you use YouClio on behalf of a company, team, or other organization, you represent that you have authority to accept these Terms for that organization. If an order form, enterprise agreement, data processing agreement, or other written agreement conflicts with these Terms, that written agreement controls.

YouClio is a PMF judgment workspace for AI builders and founder-led teams. The Service uses your workspace content, public sources, third-party tools, and AI model outputs to help produce product calls, next actions, and workspace memory. The Service does not replace your business, legal, financial, investment, medical, or compliance judgment.

1. Eligibility and account security

You must be at least 18 years old and legally able to enter into these Terms to create an account or use paid services. Minors may not create YouClio accounts.

You must provide accurate account information and protect credentials, OAuth grants, verification codes, API keys, bot tokens, integration credentials, and device access. Activity through your account is generally treated as authorized unless you can show unauthorized use and promptly notify us.

  • Do not share, sell, or transfer accounts, bypass access controls, or create accounts in bulk.
  • If credentials are exposed or you see suspicious activity, revoke sessions or contact the YouClio support team promptly.
  • If you use a company email, managed device, or organization-authorized integration, you must also follow that organization's policies.

2. Service scope, AI outputs, and human judgment

YouClio outputs may include PMF calls, source summaries, risk notes, workspace tasks, agent recommendations, chat replies, public-source search, scrape results, long-term memory, and integration messages. AI outputs may be incomplete, inaccurate, outdated, biased, or dependent on third-party sources that later become unavailable.

You are responsible for reviewing, verifying, and deciding whether to use any output. You may not use YouClio outputs as the sole basis for high-risk, regulated, or irreversible decisions, including financing, employment, medical, legal, financial investment, safety-critical systems, credit, insurance, housing, education, or similar decisions.

  • The Service may use OpenAI, OpenRouter, search, web-scraping, notification, email, payment, and cloud infrastructure providers to complete requests.
  • Some sources, models, APIs, integrations, and features may be beta, experimental, queued, rate-limited, or available only on certain plans.
  • We may apply limits to request rate, models, sources, file size, integration sends, and AI credit consumption for security, compliance, cost control, stability, or provider limits.

3. Your content and permissions

Customer Data means content you submit, upload, enter, sync, or authorize YouClio to process, such as product ideas, project descriptions, chat history, workspace memory, links, sources, files, integration messages, bot configuration, feedback, tasks, agent context, and support communications.

You retain ownership of Customer Data. To provide, secure, improve, and support the Service, you grant SNAPRE GROUP LTD a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, transform, index, summarize, and use Customer Data, including by sending necessary data to service providers, AI model providers, search and scraping providers, payment providers, cloud infrastructure, and integrations you enable.

You represent that you have the rights, notices, consents, and lawful basis needed to process Customer Data. Unless the Service specifically asks for it, do not submit unrelated secrets, passwords, full payment card data, government IDs, health information, minors' information, data restricted by confidentiality duties, trade secrets, or other highly sensitive information.

4. Privacy, security, and data processing

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information and is incorporated into these Terms. If you process personal information through YouClio, you are responsible for appropriate notices, consents, contracts, or other lawful basis.

We use reasonable technical and organizational safeguards, but no internet service, AI system, third-party integration, or cloud infrastructure can be guaranteed to be completely secure. You should provide data to YouClio only when it is necessary for your use of the Service.

  • We do not sell Customer Data.
  • We do not use private workspace content to train our own foundation models.
  • Third-party AI or infrastructure providers process necessary data under their applicable terms, data processing terms, and settings.

5. Subscriptions, AI credits, payments, and refunds

YouClio may offer free plans, paid subscriptions, one-time AI credit packs, trials, promotional credits, enterprise plans, or usage-based features. Pricing, entitlements, allowances, billing cycles, limits, and providers are as shown on the pricing page, in-product billing page, order form, Stripe, App Store, or other checkout surface.

Subscriptions generally renew automatically until cancelled. After cancellation, paid access usually remains active until the end of the current billing period unless the billing provider, order form, or law says otherwise. Failed payments, refunds, chargebacks, fraud risk, or billing anomalies may cause downgrade, suspension, termination, or grace-period access.

YouClio credits are internal product entitlements and resource meters. They are not money, stored value, gift cards, securities, crypto assets, or transferable property. Credits may not be sold, transferred, redeemed for cash, or used outside YouClio. Credits from different sources may have different expiration, reset, consumption priority, refund, and promotional rules.

  • Except where required by law, an order form, or a published refund policy, paid fees are generally non-refundable.
  • Promotional, trial, compensation, or test credits may be adjusted, revoked, or limited at any time.
  • Taxes, exchange rates, payment fees, App Store or Stripe rules, and provider costs may affect invoices, refunds, or entitlement display.

6. Third-party services and integrations

You may connect third-party services such as Telegram, Weixin, Feishu, DingTalk, Slack, Discord, GitHub, Google, Stripe, App Store, email, push notifications, search, or web scraping services. By connecting a third-party service, you authorize YouClio to send, receive, store, and process necessary data according to your configuration.

Third-party services are controlled by their providers, not by SNAPRE GROUP LTD. You are responsible for complying with third-party terms, permissions, rate limits, bot policies, developer policies, privacy policies, and applicable law. Changes, restrictions, outages, access denials, or termination by third-party services may affect YouClio features.

  • You may revoke some integrations in settings. Historical records, billing records, logs, or legally retained data may remain after revocation.
  • Do not use YouClio to send spam, harassment, fraud, unauthorized marketing, unlawful content, or automated messages that violate platform rules.
  • If you provide third-party credentials or bot tokens, you are responsible for least privilege, lawful origin, and revocability.

7. Acceptable use

You may not abuse YouClio, third-party providers, or other users' systems. We may limit, suspend, remove content, revoke integrations, refuse requests, or terminate accounts when we reasonably believe risk exists.

  • Do not violate law or infringe intellectual property, privacy, publicity, trade secret, or contractual rights.
  • Do not upload malware, backdoors, credential theft content, phishing, scams, child sexual exploitation material, terrorist content, hate, or harassment.
  • Do not bypass paid limits, rate limits, model limits, safety controls, review flows, or provider restrictions.
  • Do not scrape, export, reuse, or resell YouClio services, model outputs, system prompts, pricing, provider responses, or other non-public materials.
  • Do not use YouClio to generate or execute unlawful, deceptive, manipulative, high-risk automated, or regulated professional advice without appropriate human review and compliance controls.

8. YouClio intellectual property and feedback

YouClio and its software, interface, workflows, brand, logos, copy, design, model orchestration, data structures, billing logic, service configuration, and infrastructure are owned by SNAPRE GROUP LTD or its licensors. Except as expressly allowed by these Terms, you may not copy, modify, reverse engineer, rent, sell, sublicense, host, or create a competing service from them.

If you submit suggestions, feedback, issues, ideas, or improvements, you authorize us to use, copy, modify, publish, and commercialize that feedback without payment or confidentiality obligation.

9. Availability, changes, and beta features

We work to keep the Service stable, but we do not guarantee that it will be uninterrupted, error-free, permanently available, or fit for any particular purpose. The Service may be delayed, interrupted, or changed because of maintenance, security incidents, provider failures, network problems, model unavailability, payment issues, policy requirements, or product changes.

We may add, modify, limit, suspend, or discontinue features, plans, models, integrations, APIs, credit rules, prices, or interfaces. For materially adverse changes, we will provide notice where reasonably practical through product notices, email, page updates, or other means.

10. Suspension and termination

You may stop using the Service and may request account deletion through account settings or support. Certain billing, transaction, log, security, legal, backup, or compliance records may be retained as necessary.

We may suspend or terminate access to all or part of the Service if you violate these Terms, create security or compliance risk, fail to pay, abuse the Service, infringe rights, violate platform rules, or if legal, provider, payment, or operational reasons require action.

11. Disclaimers

To the maximum extent allowed by law, the Service is provided as is and as available. SNAPRE GROUP LTD disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, continuity, data integrity, model output quality, source availability, and third-party service availability.

You understand that AI and public-source systems have inherent limitations. YouClio does not guarantee that any output is suitable for commercial publication, fundraising materials, customer communications, investment decisions, legal documents, recruiting, advertising, medical, financial, or regulated use.

12. Limitation of liability and indemnity

To the maximum extent allowed by law, SNAPRE GROUP LTD and its affiliates, suppliers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, punitive, consequential damages, lost profits, lost revenue, lost goodwill, data loss, business interruption, substitute service costs, or third-party claims.

Except where law requires otherwise or a written agreement says otherwise, SNAPRE GROUP LTD's total liability related to the Service will not exceed the amounts you actually paid to SNAPRE GROUP LTD or its payment providers for the Service in the 12 months before the event giving rise to liability, or USD 100, whichever is greater.

You agree to indemnify and hold SNAPRE GROUP LTD harmless from claims, losses, liabilities, costs, and expenses arising from your use of the Service, Customer Data, violation of these Terms, violation of law, infringement of third-party rights, violation of third-party platform rules, or use of AI outputs.

13. Governing law, disputes, and changes

Except where an order form, enterprise agreement, or mandatory law says otherwise, these Terms are governed by the laws of the place where SNAPRE GROUP LTD is established, without regard to conflict-of-law rules. Disputes should first be handled through good-faith discussion. If unresolved, they will be brought in a court of competent jurisdiction or the dispute forum stated in the applicable order.

We may update these Terms from time to time. Continued use of the Service after an update means you accept the updated Terms. If an update materially affects your rights or obligations, we will provide notice where reasonably practical. If you do not agree to an update, you should stop using the Service and cancel relevant subscriptions.
